1. ACCEPTANCE OF TERMS

Welcome to extremedesign.in (the "Website"). By accessing or using this Website and engaging our services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Website or services.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Extreme Design ("we," "us," or "our").


2. ABOUT EXTREME DESIGN

Extreme Design is a full-service integrated design, branding, and technology agency based in Kolhapur, Maharashtra, India. We provide:

  • Brand Strategy & Identity Design
  • Web & Mobile App Development
  • Software Development & Automation
  • Content Production (Photography & Video)
  • Digital Marketing Services
  • Strategic Design Consulting

Our registered business name is Extreme Design, and we operate under the laws of India.


3. SERVICES & ENGAGEMENT

3.1 Service Scope

All projects are defined by written proposals, statements of work, or service agreements that specify:

  • Scope of deliverables
  • Timeline and milestones
  • Payment terms and project fees
  • Client responsibilities
  • Revision policies

3.2 Project Initiation

Projects commence only after:

  • Mutual agreement on scope and pricing
  • Receipt of signed project agreement or written approval
  • Payment of required advance (typically 30-50% of project value)

3.3 Client Responsibilities

Clients agree to:

  • Provide timely feedback and approvals within agreed timeframes
  • Supply necessary content, materials, and access as required
  • Designate a single point of contact for project communications
  • Ensure all provided materials do not infringe third-party rights

3.4 Timeline Extensions

Delays caused by client-side feedback, content provision, or approvals may result in timeline extensions without liability to Extreme Design. Prolonged delays (exceeding 60 days) may result in project suspension and revised pricing.


4. PAYMENT TERMS

4.1 Pricing & Invoicing

  • All prices are quoted in Indian Rupees (INR) unless otherwise specified
  • Prices are exclusive of applicable taxes (GST), which will be added to invoices
  • Invoices are issued based on agreed payment milestones
  • Payment is due within 7-15 days of invoice date unless otherwise agreed

4.2 Payment Methods

We accept payments via:

  • Bank transfer (NEFT/RTGS/IMPS)
  • Cheque (subject to clearance)
  • UPI
  • Other methods as mutually agreed

Note: We do not currently process payments directly through this Website.

4.3 Late Payment

  • Late payments may incur interest charges of 2% per month
  • Work may be paused on accounts with overdue payments exceeding 15 days
  • Deliverables and intellectual property rights transfer only upon full payment

4.4 Cancellation & Refunds

  • Advance payments are non-refundable once work has commenced
  • If a project is cancelled mid-way, payment is due for work completed up to cancellation date
  • Refund requests are evaluated on a case-by-case basis at our sole discretion

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Work Product Ownership

Upon full payment of all fees:

  • Client receives ownership of final, approved deliverables as specified in the project agreement
  • Extreme Design retains ownership of all preliminary concepts, drafts, source files, and works-in-progress unless explicitly included in the deliverable scope

5.2 Third-Party Assets

  • Stock photos, fonts, templates, plugins, or third-party tools used in projects remain the property of their respective owners
  • Client is responsible for obtaining necessary licenses for third-party assets we recommend or integrate
  • We will clearly communicate when third-party licenses are required

5.3 Pre-Existing Materials

Extreme Design retains all rights to:

  • Our proprietary processes, methodologies, and frameworks
  • Code libraries, templates, and tools developed prior to or independent of client projects
  • General knowledge and techniques acquired during project execution

5.4 Portfolio Usage Rights

Extreme Design reserves the right to:

  • Display completed work in our portfolio, website, and marketing materials
  • Use project details in case studies (with client approval for sensitive information)
  • Reference client name and industry in our client list

Clients may request confidentiality for specific projects, which will be respected upon written agreement.


6. CONFIDENTIALITY

6.1 Mutual Confidentiality

Both parties agree to:

  • Protect confidential information shared during the engagement
  • Use confidential information solely for project purposes
  • Not disclose confidential information to third-party without written consent

6.2 Exceptions

Confidentiality obligations do not apply to information that:

  • Is publicly available or becomes public through no fault of the receiving party
  • Was already known to the receiving party prior to disclosure
  • Is independently developed without use of confidential information
  • Must be disclosed by law or court order

7. WARRANTIES & REPRESENTATIONS

7.1 Our Commitments

Extreme Design warrants that:

  • Work will be performed in a professional manner consistent with industry standards
  • We have the right and authority to provide the services
  • Final deliverables will be original work (except for licensed third-party elements)

7.2 Client Warranties

Client warrants that:

  • All materials provided to us are original or properly licensed
  • Client has authority to engage our services and enter into agreements
  • Use of client-provided materials does not infringe third-party rights

7.3 Disclaimer

EXCEPT AS EXPRESSLY STATED, ALL SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.


8. LIMITATION OF LIABILITY

8.1 Maximum Liability

In no event shall Extreme Design's total liability arising out of or related to any project exceed the total fees paid by the client for that specific project.

8.2 Excluded Damages

We shall not be liable for:

  • Indirect, incidental, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Costs of substitute services
  • Damages arising from client's use or inability to use deliverables

8.3 Exceptions

Limitations do not apply to:

  • Gross negligence or willful misconduct
  • Claims arising from intellectual property infringement caused by our work
  • Liabilities that cannot be excluded by applicable law

9. INDEMNIFICATION

9.1 Client Indemnification

Client agrees to indemnify and hold Extreme Design harmless from any claims, damages, or expenses arising from:

  • Client-provided content, materials, or instructions
  • Client's use of deliverables in a manner not authorized by us
  • Breach of client warranties or representations
  • Infringement claims related to client-provided materials

9.2 Our Indemnification

We agree to indemnify client against claims that our original work infringes third-party intellectual property rights, provided:

  • Client promptly notifies us of any such claims
  • We retain sole control of defense and settlement
  • Liability is limited to fees paid for the specific infringing work

10. WEBSITE TERMS OF USE

10.1 Acceptable Use

You agree to use this Website only for lawful purposes and in a manner that does not:

  • Violate any applicable laws or regulations
  • Infringe rights of others
  • Harass, defame, or harm any person or entity
  • Transmit harmful code, viruses, or malware
  • Attempt unauthorized access to our systems

10.2 Content Accuracy

While we strive for accuracy, we do not warrant that:

  • Website content is complete, current, or error-free
  • The Website will be uninterrupted or secure
  • Defects will be corrected

11. FORCE MAJEURE

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to:

  • Natural disasters, epidemics, or pandemics
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Infrastructure failures (power, internet, etc.)
  • Labor strikes or disputes

Affected party must notify the other party promptly and make reasonable efforts to minimize impact.


12. DISPUTE RESOLUTION

12.1 Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Kolhapur, Maharashtra, India.

12.2 Negotiation & Mediation

In the event of a dispute:

  1. Parties agree to first attempt good-faith negotiation
  2. If unresolved within 30 days, parties may pursue mediation
  3. Legal action may be pursued only after exhausting the above steps

12.3 Costs

In any legal proceeding, the prevailing party may be entitled to recovery of reasonable attorney fees and costs.


13. TERMINATION

13.1 Termination for Convenience

Either party may terminate an ongoing project with 15 days' written notice, subject to:

  • Client payment for all work completed to date
  • Return or destruction of confidential materials
  • Settlement of outstanding invoices

13.2 Termination for Cause

Either party may terminate immediately if:

  • The other party materially breaches these Terms
  • The other party becomes insolvent or enters bankruptcy proceedings
  • The other party engages in fraudulent or illegal conduct

13.3 Effect of Termination

Upon termination:

  • All outstanding payments become immediately due
  • Extreme Design retains work-in-progress and source files until full payment
  • Confidentiality and indemnification obligations survive termination

14. GENERAL PROVISIONS

14.1 Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between parties and supersede all prior discussions or understandings.

14.2 Amendments

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Website with updated "Last Updated" date. Continued use of services constitutes acceptance of modified Terms.

14.3 Severability

If any provision is found invalid or unenforceable, the remaining provisions continue in full force and effect.

14.4 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

14.5 Assignment

Client may not assign or transfer their rights or obligations without our written consent. We may assign our rights to any successor or affiliate.
